Be responsible for the maintenance of your website and any content once the project is completed unless a maintenance agreement has been made separately.
Promptly pay all invoices according to the payment terms outlined in the contract or proposal.
5. Payment Terms
Payment for services is due as outlined in the contract or proposal. If no specific payment schedule is defined, all invoices are due upon receipt unless otherwise agreed. We reserve the right to suspend or terminate services if payment is not received within the specified time frame.
6. Intellectual Property
Upon payment in full for our services, we grant you a license to use any deliverables we provide, such as website designs, content, or other materials. All intellectual property rights in the materials, code, designs, and ideas that we create remain with us unless otherwise agreed upon in writing.
You are granted a non-exclusive, non-transferable license to use the final deliverables, but you may not resell, redistribute, or make the deliverables available to third parties without our prior consent.

8. Limitation of Liability

If you terminate the agreement before completion of the services, you will be responsible for paying for the work completed up to that point. We reserve the right to terminate the agreement if you breach these Terms or fail to meet payment obligations.

These Terms are governed by and construed in accordance with the laws of The United States/Indiana. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in The United States/Indiana.
12. Indemnification
You agree to indemnify, defend, and hold harmless Peak High Digital, its officers, employees, and agents from any and all claims, damages, liabilities, and expenses (including legal fees) arising out of your use of our Services or any breach of these Terms.
13. Force Majeure
We will not be liable for any delay or failure in the performance of our obligations if the delay or failure is caused by circumstances beyond our reasonable control, including natural disasters, acts of war, terrorism, strikes, or government regulations.
